What the Series II-A certification is for
The NISM paper for people who keep a listed company's share records. A registrar and transfer agent, or RTA, handles share issues and allotment, keeps the list of shareholders, pays dividends and works with the depositories. The paper also covers shares, bonds, mutual funds, SEBI's role and investor service.
Who takes it
People who do RTA work for listed companies. NISM makes this exam compulsory for them. Students and other learners may also take it.
Why it is on this site
Learn what happens after you apply for an IPO or hold a share in demat. The RTA decides who gets shares, who gets the dividend and how a lost certificate is replaced.
Exam format at a glance
100 multiple-choice questions of 1 mark each in 120 minutes. 50% to pass, which is 50 of 100 marks. There is no negative marking.
The examination fee is deliberately not printed here. NISM publishes it per certification and revises it from time to time, and a fee is the one figure on a page like this that somebody acts on with money — read the current one on nism.ac.in.
How the marking works — and what the quiz here does with it
Each question carries 1 mark, so the paper is scored out of 100 and 50 marks are needed to pass. There is no negative marking on this paper. A wrong answer and a blank both score nothing, which means a blank is never the better of the two: an uncertain answer is free to give.
The practice quiz here uses these same figures. Timed practice applies this pass mark and this deduction. Its clock runs at this paper's pace (120 minutes for 100 questions), scaled to the size of your set.
Syllabus units, and what each is worth
15 practice topics, in the order our questions are written. Each row links to the topic's full questions and answers. Each answer explains why the other options are wrong. The marks column is the published syllabus outline's, and where two of our unit headings sit under one published unit they show that unit's whole mark value. The official outline gives a combined figure for these headings.
| Unit | Practice questions | Published marks |
|---|---|---|
| Introduction to Securities | 10 | 3 of 1003% of the paper |
| Characteristics of Equity Shares | 10 | 6 of 1006% of the paper |
| Characteristics of Debt Securities | 10 | 6 of 1006% of the paper |
| Characteristics of Other Securities | 10 | 3 of 1003% of the paper |
| Basics of Mutual Funds | 10 | 3 of 1003% of the paper |
| SEBI – Role and Regulations | 10 | 14 of 10014% of the paper |
| Public Offer of Securities | 10 | 5 of 1005% of the paper |
| Modes of allotment of shares other than Public Offers | 10 | 2 of 1002% of the paper |
| Processes related to Public Offering of Shares | 10 | 8 of 1008% of the paper |
| Roles and Responsibilities in a Public Issue | 10 | 6 of 1006% of the paper |
| Depository Services | 10 | 6 of 1006% of the paper |
| Processes Related to Depositories | 10 | 16 of 10016% of the paper |
| Investor Interface with the R&T Agent | 10 | 10 of 10010% of the paper |
| Secondary Market Transactions | 10 | 5 of 1005% of the paper |
| Client Servicing | 10 | 7 of 1007% of the paper |
Because a shared unit reports its whole value under each of our headings, the marks column does not add to 100 — the published units do. The source each figure is quoted from is printed on that unit's own page.
